Siemens Gamesa minority shareholders approved a capital reduction for the remaining 2.21% of shares not held by Siemens Energy in the Extraordinary General Meeting of Shareholders held on June 13, paving the way for a full integration of both companies.

The capital reduction was approved by 98.21% of the minority shareholders attending in person or by proxy (38.88%). Approval was contingent on a presence of at least 25% of the minority shareholders with an approval rate of at least two-thirds. As a result of the capital reduction, the shares of the minority shareholders are redeemed. For that, the shareholders will receive compensation of €18.05 per Siemens Gamesa share probably mid July, the same price that was offered in the original tender offer by Siemens Energy in 2022. You do not need to take any action in this regard. The payment will be made automatically via your bank mid July.

En la Junta General Extraordinaria de Accionistas celebrada el 13 de junio en Madrid, los accionistas minoritarios de Siemens Gamesa han aprobado una reducción de capital sobre el 2,21% de acciones restantes que no posee actualmente Siemens Energy. Con ello, se prepara el camino para la completa integración de ambas compañías.

La reducción de capital ha sido aprobada por el 98,21% de los accionistas minoritarios presentes o representados (38,88%). La aprobación estaba supeditada a la presencia de al menos el 25% de los accionistas minoritarios y a un porcentaje de aprobación de dos tercios. Como consecuencia de la reducción de capital, a mediados de julio se amortizarán las acciones de los accionistas minoritarios de Siemens Gamesa que serán compensados por sus acciones con 18,05 euros por acción, el mismo precio que Siemens Energy ofreció en la oferta pública de adquisición original en 2022. No es necesario que tome ninguna medida al respecto. El pago se efectuará automáticamente a través de su banco a mediados de julio.

In einer außerordentlichen Hauptversammlung am 13. Juni in Madrid haben die Minderheitsaktionäre von Siemens Gamesa einer Kapitalherabsetzung zugestimmt. Betroffen sind die ausstehenden 2,21% der Aktien, die nicht von Siemens Energy gehalten werden. Damit ist die vollständige Integration von Siemens Gamesa in Siemens Energy möglich.

Die Kapitalherabsetzung wurde von 98,21% der persönlich oder durch Bevollmächtigte anwesenden Minderheitsaktionäre (38,88%) gebilligt. Voraussetzung für den Beschluss zur Kapitalherabsetzung war eine Beteiligung von mindestens 25% des ausstehenden Aktienkapitals und eine Zustimmungsrate von zwei Dritteln der anwesenden Minderheitsaktionäre. Durch die Kapitalherabsetzung werden die Anteile der Minderheitsaktionäre eingezogen. Die Aktionäre erhalten dafür eine Kompensation von 18,05 € pro Aktie voraussichtlich Mitte Juli. Dies entspricht dem Preis des freiwilligen Kaufangebots von Siemens Energy aus dem Jahr 2022. Diesbezüglich müssen Sie nicht aktiv werden. Die Auszahlung erfolgt Mitte Juli automatisch über ihre Bank.
